1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and CRU Technologies LLC, a Texas limited liability company operating as RevHostHQ ("RevHostHQ," "Company," "we," "us," or "our"), headquartered in Austin, Texas. These Terms govern your access to and use of the RevHostHQ platform, including our web application, browser extension, mobile application, AI-powered messaging assistants, ROI Calculator, and any other services, features, or content we offer (collectively, the "Services").

By using the Services, you represent that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, which is incorporated herein by reference. If you are using the Services on behalf of an organization or business entity, you represent that you have the authority to bind that entity to these Terms.

2. Definitions

As used in these Terms:

• "Services" means the RevHostHQ web application, browser extension, mobile application (iOS and Android), AI messaging assistant, ROI Calculator, and any related tools, APIs, documentation, and content made available by RevHostHQ.
• "Account" means the registered user account you create to access the Services.
• "User Data" means all information, data, and content that you input, upload, sync, or generate through your use of the Services, including vehicle data, reservation data, financial records, expense records, and communication content.
• "Subscription" means a paid access plan (Free, Pro, or Business) that grants you certain rights to use the Services.
• "Credits" means the in-platform currency used to access premium analytical features, including market scans, cash flow projections, and ROI analyses.
• "Browser Extension" means the RevHostHQ browser extension that connects your vehicle rental platform data sources to RevHostHQ.
• "AI Assistant" means the RevHostHQ AI-powered messaging assistant accessible via supported messaging platforms.
• "Connected Data Sources" means the third-party vehicle rental platforms, marketplaces, and services that you authorize RevHostHQ to access data from on your behalf.

3. Eligibility and Account Registration

3.1 Eligibility

To use the Services, you must: (a) be at least 18 years of age; (b) have the legal capacity to enter into binding contracts under applicable law; (c) not be barred from using the Services under any applicable laws or regulations; and (d) complete the account registration process accurately and completely.

3.2 Account Registration

When you create an account, you agree to:

• Provide accurate, current, and complete information during the registration process
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the security and confidentiality of your account credentials
• Accept all responsibility for activity that occurs under your account
• Notify us immediately at hello@revhosthq.com if you suspect unauthorized use of your account

3.3 Account Security

You are solely responsible for safeguarding your account password and for any activity that occurs under your account, whether or not authorized by you. RevHostHQ will not be liable for any loss or damage arising from your failure to comply with these security obligations.

4. Description of Services

4.1 Web Platform

RevHostHQ's web application provides a comprehensive fleet management dashboard for vehicle rental hosts, including vehicle and reservation management, financial reporting and profit-and-loss analysis, co-host revenue allocation, invoice generation, market intelligence and competitor analysis, expense tracking, and private rental management.

4.2 Browser Extension

The RevHostHQ Browser Extension, when authorized and activated by you, reads data from your Connected Data Sources' web interfaces and transmits it to the RevHostHQ platform for processing and storage. The extension operates only during active browser sessions and only when you initiate a sync action — no background data collection occurs without your direct interaction.

4.3 AI Messaging Assistant

RevHostHQ operates an AI-powered assistant accessible via supported messaging platforms (including but not limited to WhatsApp, Telegram, SMS, Slack, and other platforms we may integrate from time to time). The assistant allows you to log expenses, query your fleet and financial data, and receive business insights through natural language conversation.

4.4 Mobile Application

RevHostHQ's mobile application for iOS and Android provides access to core fleet management features, including fleet overview, reservations, financial summaries, and expense capture.

4.5 ROI Calculator

RevHostHQ offers a publicly accessible ROI Calculator that provides estimated return-on-investment projections for vehicle rental hosts. The free version uses statistical market estimates. Premium analysis features powered by real-time market data are accessible to registered users via the Credits system. All calculator outputs are estimates only and do not constitute financial, investment, or business advice.

5. Acceptable Use Policy

5.1 Permitted Use

You may use the Services solely for lawful purposes in connection with the management of a legitimate vehicle rental business. You agree to use the Services in accordance with all applicable local, state, federal, and international laws, regulations, and ordinances.

5.2 Prohibited Conduct

You agree not to, directly or indirectly:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to gain unauthorized access to any portion of the Services, other users' accounts, or any related systems or networks
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Services
• Copy, adapt, modify, or create derivative works based upon the Services or any content therein without our express written permission
• Use automated scripts, bots, scrapers, or data mining tools to access or extract data from the Services
• Introduce viruses, malware, or any other code designed to disrupt, damage, or interfere with the Services
• Use the Services to transmit unsolicited commercial communications or spam
• Misrepresent your identity or impersonate any person or entity
• Sublicense, sell, resell, transfer, or otherwise commercialize the Services without our express written consent
• Use data obtained through the Services to build a competing product or service

6. Subscription Plans and Billing

6.1 Plans Overview

RevHostHQ offers Free, Pro, and Business subscription plans with varying features and pricing based on fleet size.

6.2 Credits System

Certain premium analytical features — including Market Scans, Cash Flow Projections, ROI Acquisition Analyses, and Fleet Comparisons — are accessed using Credits. Credits are purchased in bundles and added to your account balance upon payment. Pro subscribers receive a monthly allotment of Credits included in their subscription.

6.3 Billing and Payment

Paid subscriptions are billed monthly or annually, as selected at the time of purchase. By subscribing to a paid plan, you authorize RevHostHQ to charge your payment method on a recurring basis according to your billing cycle.

6.4 Automatic Renewal

Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel at any time through your account settings or by contacting us at hello@revhosthq.com.

6.5 Refund Policy

RevHostHQ does not provide refunds for partial months or partial billing periods. If you cancel a paid subscription mid-cycle, you retain access through the end of the current period and will not be charged for the next period.

7. User Content and Data Ownership

7.1 Your Data Belongs to You

You retain full ownership of all User Data you provide, upload, or generate through your use of the Services. RevHostHQ does not claim any ownership rights over your fleet data, financial records, reservation data, expense records, photographs, or other information you store in the platform.

7.2 License to RevHostHQ

By using the Services, you grant RevHostHQ a limited, non-exclusive, worldwide, royalty-free license to access, process, store, and use your User Data solely for the purpose of providing and improving the Services to you.

7.3 Aggregate and Anonymized Data

RevHostHQ may derive and use anonymized, aggregated statistical data from your use of the Services to improve platform functionality, calibrate market estimation models, and develop new features. Such data will never be attributable to you individually.

8. Browser Extension — Special Terms

8.1 How the Extension Works

The Browser Extension reads data displayed on your Connected Data Sources' web interfaces within your authenticated browser session and transmits that data to RevHostHQ servers for processing and storage. The extension does not store your platform credentials. Data is only collected when you actively initiate a sync action.

8.2 No Guarantee of Compatibility

Third-party vehicle rental platforms and marketplaces may modify their websites, interfaces, or terms at any time without notice, which may render the Browser Extension partially or fully non-functional. RevHostHQ does not guarantee the ongoing compatibility or functionality of the Browser Extension with any Connected Data Source.

8.3 Your Responsibility for Third-Party Terms

You acknowledge that your use of the Browser Extension must comply with the terms of service of each platform you connect as a data source. RevHostHQ makes no representation that the use of the Browser Extension is permitted under any third-party platform's terms of service.

9. AI Assistant Services — Special Terms

9.1 Nature of AI-Generated Content

The AI assistant generates responses using large language models and artificial intelligence technology. AI-generated content may be inaccurate, incomplete, or outdated. All content generated by the AI assistant is provided for informational and operational assistance purposes only.

9.2 Limitations of AI Features

You acknowledge that:

• AI systems can produce errors, inconsistencies, and hallucinations
• The assistant's responses are generated based on data available in your RevHostHQ account and context provided in the conversation
• RevHostHQ does not guarantee the accuracy, completeness, or suitability of AI-generated responses for any particular purpose

10. Third-Party Platforms and Services

10.1 Third-Party Services

The Services may integrate with or rely upon third-party services for infrastructure, AI processing, payment processing, and messaging delivery. Your use of such third-party services is governed by their respective terms of service and privacy policies.

10.2 Connected Data Sources

RevHostHQ is an independent software company and is not affiliated with, endorsed by, authorized by, or in any way officially connected to any vehicle rental marketplace or platform you choose to connect as a data source.

11. Intellectual Property

11.1 RevHostHQ Intellectual Property

The Services, including all software, code, interfaces, designs, graphics, text, data, and other content comprising or underlying the platform, are owned by CRU Technologies LLC or our licensors and are protected by United States and international intellectual property laws.

11.2 Feedback

If you provide RevHostHQ with any feedback, suggestions, or ideas regarding the Services ("Feedback"), you grant CRU Technologies LLC a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and create derivative works from such Feedback, without compensation to you.

12. Disclaimers and No Warranties

Without limiting the foregoing, RevHostHQ does not warrant that:

• The Services will be uninterrupted, error-free, or available at any particular time
• Any errors or defects in the Services will be corrected
• The Services or the servers that make them available are free of viruses or other harmful components
• The results obtained from using the Services, including financial reports, market analyses, and ROI calculations, will be accurate, complete, or reliable
• The Browser Extension will remain compatible with any Connected Data Source
• AI-generated content will be accurate, complete, or appropriate for your specific situation

13. Limitation of Liability

In all cases, RevHostHQ's total cumulative liability to you for any claims arising under or related to these Terms or the Services shall not exceed the greater of: (a) the total amounts you paid to RevHostHQ during the twelve (12) month period immediately preceding the event giving rise to liability; or (b) one hundred U.S. dollars ($100.00).

14. Indemnification

You agree to indemnify, defend, and hold harmless CRU Technologies LLC, its officers, directors, members, employees, agents, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services in violation of these Terms; (b) your User Data; (c) your violation of any applicable law or regulation; (d) your violation of any third-party terms, including the terms of service of any Connected Data Source or messaging platform; or (e) your negligence or willful misconduct.

15. Term and Termination

15.1 Term

These Terms are effective from the date you first access or use the Services and remain in effect until terminated.

15.2 Termination by You

You may terminate your account at any time by deleting your account through your account settings or by contacting us at hello@revhosthq.com. Termination does not entitle you to a refund for amounts already paid.

15.3 Termination by RevHostHQ

RevHostHQ reserves the right to suspend or terminate your account, with or without notice, for:

• Violation of these Terms or our Acceptable Use Policy
• Non-payment of fees owed
• Conduct determined to be harmful to other users, RevHostHQ, or third parties
• Receipt of a legal order or government directive requiring termination
• Our decision to discontinue the Services or any material portion thereof

16. Dispute Resolution

16.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to attempt to resolve any dispute with RevHostHQ informally by contacting us at legal@revhosthq.com. We will use commercially reasonable efforts to resolve the dispute informally within thirty (30) days of receiving your notice.

16.2 Binding Arbitration

To the maximum extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms, the Privacy Policy, or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules then in effect.

16.3 Class Action Waiver

YOU AND REVHOSTHQ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without giving effect to any choice of law or conflict of law provisions. To the extent that any dispute is not subject to arbitration under Section 16, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Travis County, Austin, Texas.

18. Changes to These Terms

RevHostHQ reserves the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of these Terms and, where material, send notice via email or a prominent platform notice. Your continued use of the Services after the effective date of revised Terms constitutes your acceptance of those changes.

19. Miscellaneous

19.1 Entire Agreement

These Terms, together with the Privacy Policy and any other agreements referenced herein, constitute the entire agreement between you and CRU Technologies LLC with respect to the Services and supersede all prior agreements, representations, and warranties.

19.2 Severability

If any provision of these Terms is held invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or severed, and the remaining provisions shall remain in full force and effect.

19.3 Assignment

You may not assign or transfer these Terms or any of your rights hereunder without RevHostHQ's prior written consent. CRU Technologies LLC may freely assign or transfer these Terms without restriction.

19.4 Notices

All notices from RevHostHQ to you will be provided via email to the address associated with your account or via a notice posted within the platform. Notices from you to RevHostHQ must be sent to legal@revhosthq.com or by mail to: CRU Technologies LLC, Austin, Texas.
